Shana Smith is the general counsel and corporate secretary of NII Holdings, Inc., a provider of differentiated mobile communication services for businesses and high value consumers in Brazil and Argentina. NII trades on the NASDAQ stock market under the symbol NIHD.

Mrs. Smith is responsible for leading the legal affairs of the company, including the corporate governance, ethics and compliance programs; U.S. public company securities law compliance; executive compensation; public and private financings; M&A transactions; litigation; human resources; trademark and intellectual property; and international corporate governance, tax and compliance. In this role she works closely with the board of directors, CEO, and executive team in solidifying NII’s best practices and governance framework to meet stockholder expectations.

Mrs. Smith has served as a member of the board of directors of NII's subsidiaries domiciled in the United States, Western Europe, the Caribbean and South America.
Mrs. Smith joined NII in November 2009 as corporate counsel and assistant secretary, served as vice president and deputy general counsel from 2011 to 2015 and was appointed general counsel and corporate secretary in 2015.
Prior to joining the NII team, Mrs. Smith served as corporate counsel, securities and finance of Sprint Nextel Corporation, a provider of wireless services and global Internet. During her tenure, she worked with the executive team on public company securities law compliance, mergers, restructurings, financing events and purchases and sales of large assets. Before serving at Sprint Nextel Corporation, Mrs. Smith was a corporate associate with Fried, Frank, Harris, Shriver and Jacobson, an international law firm. Prior to completing law school, Mrs. Smith served as a communications specialist with MCI.

Mrs. Smith is a graduate of the Georgetown University Law Center and the University of Maryland, where she received a bachelor of arts in Journalism.
